OfficeOnWeb services provided In return for the fees specified within the order form, OfficeOnWeb will provide suite space and support management. The suite will be entered on the directory and links to and from the directory will be incorporated in the HTML markup documents. If applicable, an e-mail address will be linked so that e-mail will be forwarded to the address specified by the suite customer. Suite customer payment The domain /mall customer will be notified by e-mail of the lease inception date. In return for the requested suite service, the customer agrees that they will pay any initial charges for requested services and the first month of web space (suite) rent. This payment will be processed after page design work has begun or when the page is placed in the suite location, whichever occurs first. The suite customer will be notified by e-mail of the lease inception date. The suite address will always be paid in advance by one month. If the suite customer desires, a one year or six month advance payment may also be made. In this option is selected, the customer will not be contacted for billing purposes until one month before the expiration of the lease period. Payment more than 30-days overdue may be charged a $24 late fee and 1.5% per month interest each month the account is overdue and/or payment is not received. Accounts overdue by 90-days may be turned over to a collection agency or attorney for collection and reporting to credit agencies. If collection procedures are implemented, the customer shall be responsible for repayment of all reasonable fees, including attorney's fees, and other charges incurred. Addressed sites that are overdue by 30-days or more are subject to shutdown and holding of the design and other property as collateral until the account is satisfied. In event of nonpayment, damages, or other activities by the customer, OfficeOnWeb shall be entitled to recovery of our standard billing charges per hour of generation and processing of data and damages resulting from these. Client agrees to pay OfficeOnWeb all charges relating to use of their account(s) according to rates and prices published online at the time of use. Client is responsible for charges from the application date until the account is closed and OfficeOnWeb may apply the amount due to your credit card at any time. Client is solely responsible for informing OfficeOnWeb of all new customer contact and billing information including new expiration dates on your listed credit card, no remaining credit on the credit account, new credit card numbers, address and phone number changes. OfficeOnWeb will however send an email reminder to you if your credit card expires in an ensuing month. You are solely responsible for notifying OfficeOnWeb if you would like to cancel your account. Charges will continue to accrue until notice is given. You are responsible for payment through the end of the cancellation month. OfficeOnWeb will charge an additional fee per invoice if you request invoices by US mail. Suite customer cooperation The suite customer and OfficeOnWeb agree to make reasonable consultations so the page design and links can be generated as specified in the lease agreement. The suite customer agree to examine the site, or if they do not have site visitation capacity, prints of the page(s) and notify OfficeOnWeb of any corrections within one month of posting. Two occurrences for correction are included in the the initial fee(s). Subsequent changes are subject to a change of web site access fee. Changes solely due to typographical errors by OfficeOnWeb are free of charge. If page(s) are generated by a third party or the suite customer, corrections to those pages are the responsibility of the customer, and if applicable, the third party designing the page(s). Services not provided in this agreement Customer or third party direct editing, downloading, and ftp access to the OfficeOnWeb suite are not provided by OfficeOnWeb. The customer agrees to not attempt, or authorize another to attempt, to breach the "firewall" for such activities. Web domain name hosting (DNS) and dial up Internet Phone Provider (IPP) access are not provided by OfficeOnWeb and are not a part of this agreement. Support services for ordering through the Internet from our billing department is a separate service under a different agreement. Occupancy limitation and legal responsibilities This site is intended for professional activities and will include child access. Activities not considered to be "G-rated" by a Microsoft © affiliated Internet rating service are not permitted. OfficeOnWeb will review submitted pages for meeting this standard and may, at its option, submit the file to the rating service before placement in the suite space. Pages found to not be in compliance will not be placed in the suite until they meet this requirement. Pages found to not be in compliance, that are already in a suite, may be removed until they are brought into compliance. OfficeOnWeb reserves the right to refuse service to anyone not meeting these requirements. In such an event, OfficeOnWeb may remove the suite customer from the suite space and release the space to another customer. Penalties may include retaining up to two months of space rent for losses incurred. OfficeOnWeb shall make reasonable efforts to obtain a correction to the suite customer's pages to bring them into compliance. However, nothing in this agreement shall be construed to preclude OfficeOnWeb from retaining the right to remove a suite customer from suite space that does not meet OfficeOnWeb acceptance requirements. Activities such as allow e-mail transmission from by spamming type services, cgi based chat services, or other unusually high traffic volume generating activities are not permitted. If a site has an activity located within it that adversely affects traffic, it may be moved to another server or traffic fees may be imposed. Only lawful activities under United States laws will receive services. No illegal activity under the laws of the United State government and the stated where the server is located is permitted. Sites found to not be in compliance may have its service suspended and its content removed until they are found to be in compliance with these laws. If a business is found to be in violation of a state law that the server resides in, the domain may be moved to another site. If it is determined that this fact was known to the customer and was not revealed, at OfficeOnWeb's option, services may be removed. OfficeOnWeb reserves the right to refuse service to anyone not meeting these requirements. Business found to be violation of these requirements may be subject to liability for the costs of removing the services and business losses to OfficeOnWeb and other customers located on the subject server. The customer is solely accountable for any illegal acts occurring on their site. Repeating: should OfficeOnWeb discover an illegal activity is being engaged in through a site, the site agreement may be immediately terminated and all information in the site may be removed. OfficeOnWeb is not responsible for lost profit or any other damages claimed or incurred by refusal of service, inability to establish a connection to the site, or design errors. Limited Warranty OfficeOnWeb warrants that for a period of ninety (90) days from the date of acquisition, the Software, if operated as directed, will substantially achieve the functionality described in the Documentation. Within this period, should a design or other error be found, OfficeOnWeb will use reasonable commercial efforts to repair, replace, advise, or refund within 30 days of being so notified. In any event, OfficeOnWeb's limitation of liability is the cost of the hosting or design services. Copyright Limitations Software generated by OfficeOnWeb remain the property of OfficeOnWeb and may be used without restriction on other web sites designed by OfficeOnWeb. In consideration of payment, the customer is granted a limited license to use the software on any site they select for a 99-years. Extensions of this time period may be granted in the unusual event that our software is used after the 99-year period. Tax and legal responsibilities The suite customer is responsible for all taxes applicable to doing business from their suite. No illegal activity under the laws of the United State government and its 50 states is permitted. The suite customer is solely accountable for any illegal acts. Should OfficeOnWeb discover an illegal activity is being engaged in through a suite, the suite agreement will be immediately terminated and all pages in the suite will be removed. OfficeOnWeb is not responsible for lost profit or any other damages claimed or incurred by refusal of service or inability to establish a connection to the suite. Subleasing limitation Suites may not be subleased to a third party. Links to other pages are permitted, provided: the link is not a banner ad or similar feature and the link does not violate the suite occupancy limitation. Transfer of suite If a business is sold, the purchasing party may elect to continue occupancy of the suite, provided a new agreement is established. Unless a new agreement is established, the party making the original agreement is responsible for the lease period remaining in their signed agreement. Changes to Agreement Office On Web has the right to change this agreement at any time via edit to the web site agreement and notice submitted by e-mail to the domain address specified by the customer.
